These Terms of Service ("Terms") govern your access to and use of Sequence (the "Platform"), operated by Halcyon Agency Pty Ltd (ABN 53 675 138 708, "Halcyon", "we", "us"). By accessing or using the Platform, you agree to these Terms.
Sequence is an internal platform. It is not a publicly available SaaS product. Access is granted solely to authorized Halcyon staff and to clients who have entered into a separate service agreement with Halcyon.
1. Eligibility and access
You may use the Platform only if you are (a) an employee or contractor of Halcyon Agency, or (b) an authorized representative of a client engaged with Halcyon under a written services agreement. You must be at least 18 years old and have authority to bind the organization you represent.
2. Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify Halcyon immediately at hello@halcyonagency.com.au if you suspect unauthorized access.
3. Connected social media accounts
To use the Platform's publishing and analytics features, clients authorize Halcyon via OAuth to access their social media accounts (Facebook Pages, Instagram Business accounts, LinkedIn Company Pages, YouTube channels, TikTok accounts). By connecting an account, you confirm that:
- You are authorized to grant access to the account on behalf of its owner
- Your use of the Platform, and Halcyon's use of the authorized access, complies with the applicable platform's terms (Meta, TikTok, LinkedIn, YouTube)
- You are solely responsible for the content published through the Platform to those accounts
You may disconnect an account at any time from the Accounts page. Disconnection revokes Halcyon's tokens within 30 days.
4. Content ownership and license
You retain all ownership of content you upload, create, or authorize through the Platform (captions, scripts, images, videos, thumbnails, schedules). You grant Halcyon a limited, non-exclusive, non-transferable license to host, process, publish, and analyze your content solely to provide the services described in your service agreement.
Halcyon does not claim ownership of your content and will not use it for purposes unrelated to the services.
5. Acceptable use
You must not use the Platform to:
- Publish content that is unlawful, defamatory, harassing, discriminatory, obscene, or infringing on intellectual property rights
- Circumvent the rate limits, policies, or terms of any connected social platform
- Attempt to reverse engineer, probe, scan, or compromise the Platform's security
- Access accounts or data you are not authorized to access
- Use the Platform to post coordinated inauthentic content, spam, or misleading information
Halcyon reserves the right to suspend or terminate access without notice if we reasonably believe these Terms have been breached.
6. Third-party platforms
The Platform integrates with Meta, Instagram, LinkedIn, YouTube, and TikTok. Your use of those integrations is also governed by the applicable platform's own terms and policies. Halcyon is not responsible for the availability, functionality, or policy changes of third-party platforms.
7. Service availability
We endeavour to keep the Platform available at all times but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and unforeseen technical issues may cause downtime. Halcyon is not liable for publishing failures caused by third-party platform outages, rate limits, or policy actions (e.g. a post rejected or removed by a platform).
8. Fees
Access to the Platform is included in the fees specified in the client's separate service agreement with Halcyon. There are no additional fees payable directly through the Platform.
9. Confidentiality
All data, designs, strategies, and non-public information shared between Halcyon and the client through the Platform are confidential. Each party agrees to protect the other's confidential information and to use it only to perform the services.
10. Termination
Either party may terminate access in accordance with the underlying service agreement. Upon termination:
- Client access to the Platform is revoked
- OAuth tokens for connected accounts are revoked and deleted within 30 days
- Uploaded content is deleted within 90 days unless earlier deletion is requested
- Obligations that by nature should survive (confidentiality, indemnification, limitation of liability) continue
11. Disclaimer of warranties
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, Halcyon disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law which cannot be lawfully excluded.
12. Limitation of liability
To the extent permitted by law, Halcyon's total aggregate liability arising out of or in connection with the Platform is limited to the fees paid by the client to Halcyon in the three (3) months preceding the claim. Halcyon is not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, revenue, data, or reputation.
13. Indemnification
You agree to indemnify Halcyon against claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your content, (b) your use of the Platform in breach of these Terms, or (c) your violation of any law or third-party right.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to active clients. Continued use of the Platform after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes are subject to the exclusive jurisdiction of the courts of New South Wales.
